These terms govern your access to the Resell Your Franchise marketplace, advisory sessions, and facilitation workflows.
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between Resell Your Franchise ("RYF", "Company", "we", "our", or "us")and you ("User", "you", "your") governing your access to and use of the RYF Platform, including its website, web application, and all associated services.
Please read these Terms carefully before using the Platform. By registering an account, clicking "I Agree", submitting any form, or otherwise accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

RYF is a technology-driven intermediary platform. Our role is to provide a marketplace where Sellers can list franchises and Buyers can discover opportunities, facilitate introductions, coordinate valuation assessments, and provide software tools to support due diligence.
Because RYF acts as an intermediary, we do not guarantee the success of any transaction, verify the absolute accuracy of self-reported financial disclosures, or take responsibility for transaction outcomes. Any agreements reached are solely between the buyer and seller.
To use the Platform, you must be at least 18 years of age and legally capable of entering a binding contract under applicable Indian law.
You agree to provide truthful and complete information during registration, create only one account per entity, keep credentials secure, and accept full responsibility for all activities conducted under your account. We reserve the right to suspend accounts that fail verification checks.
By listing a franchise on the Platform, you represent and warrant that:

Advisors and brokers must upload professional certifications, SEBI/IRDAI/Bar Council credentials, and valid identity proofs for onboarding.
Seller documents are stored in secure Google Firebase buckets and are accessible only to the designated assessor and administrators.
Sharing sensitive financials or legal agreements with buyers requires formal expression of interest, verification of the buyer, and explicit disclosure approvals. RYF is not a certified legal vault; users should maintain their own archives.
9.1 Resale Listing: Listings are subject to admin review. Removed requests are processed within 2 business days.
9.2 Franchise Valuation: Valuations are estimates, not guaranteed exit prices. They rely on self-reported figures.
9.3 Expert Sessions: Fees are collected by RYF and disbursed to advisors. Refunds apply if the advisor misses a session.
9.4 Legal Consultations: Provided by independent lawyers (₹990 booking fee for 30 minutes). RYF is not a law firm and does not give legal advice.
9.5 Assured Buyer / Meeting: RYF coordinates meet logistics but is not present or party to negotiations.
Payments are processed securely via Razorpay. The fee and refund terms are summarized below:

You agree not to bypass Platform security, use scrapers, provide false documentation, share confidential user information outside the platform, or engage in fee circumvention. Violations lead to account bans and civil/criminal legal prosecutions.
Maximum Liability: RYF's total liability for any claim shall not exceed the total fees paid by you to RYF in the three (3) months preceding the claim.
We are not liable for direct, indirect, or consequential losses, business losses, or confidentiality breaches committed independently by advisors, brokers, or users.
You agree to defend, indemnify, and hold harmless RYF and its directors from claims, liabilities, and legal fees arising from your breach of these Terms, false listings, or disputes between you and other users/advisors.
All platform software, designs, logos, and layouts are the exclusive property of RYF. Users retain ownership of uploaded documents but grant RYF a license to store and process them for service delivery.
The Platform and services are provided on an "as is" and "as available" basis without warranties of merchantability, fitness, or listing accuracy. Nothing on the Platform constitutes financial or investment advice.
Disputes not settled amicably within 30 days shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Rajkot, Gujarat, India.
You can close your account by contacting support. RYF may suspend accounts immediately for material breaches, fraud, or 2 years of inactivity.
We reserve the right to modify these Terms. Continued use of the platform after updates take effect represents acceptance of the updated terms.
